Outtake Club Session Agreement

1 Who this is between

This agreement is between The Outtake Club ("we", "us", "the Photographer") and the person who books and signs for the session ("you", "the Client"). It covers the session listed on your booking form, including any add-ons on your invoice. By checking the agreement box on the booking form and typing your name, you are signing this agreement electronically, and that signature carries the same weight as a signature on paper.

2 Booking, deposit and payment

• A session time is only reserved once a deposit or full payment has been received. Submitting the booking form holds your time for 24 hours while we send your invoice.
• You may pay a 50% non-refundable deposit at booking with the remaining balance due on the day of the session before photography begins, or you may pay in full at booking.
• Deposits are non-refundable under all circumstances, including cancellation, no-show, illness, weather or a change of plans.
• If the balance is not paid before your session start time, we may release your time to another client and the deposit is forfeited.
• Advertised session pricing is shown before applicable sales tax. Your invoice shows the subtotal, applicable sales tax and total, with taxable physical goods such as tees, prints and frames listed separately.
• Published pricing may change for future sessions, but your invoice controls the price of the session you booked.
• Add-ons such as hair and makeup, expedited editing, prints and extra images are billed separately and due before those services are delivered.
• Prices quoted on your invoice are the prices for that session. Published prices may change at any time for future sessions.

3 Cancellations, reschedules and late arrivals

• If you cancel, the deposit is forfeited and any balance already paid is not refunded. We are happy to credit the deposit toward a future drop at our discretion if you give at least 7 days' notice.
• If you need to reschedule, tell us at least 72 hours before your session. One reschedule per booking is allowed, subject to availability at a future drop. Your deposit moves to the new date.
• If we have to reschedule for illness, equipment failure, venue loss, weather or anything else outside our control, we will offer you the next available date and your deposit and any payments move to that date in full. If we cannot offer you a date that works within 90 days, we will refund everything you have paid us, including the deposit.
• Sessions are short and the schedule is tight. If you arrive late, we shoot whatever time is left in your slot. Late arrival is not grounds for a refund, a discount or extra time.
• No-shows forfeit all payments.

4 Creative control and the images you receive

• We choose which images to deliver and how they are edited. Our editing style, including color, retouching and any digital or AI-assisted retouching and background work, is part of what you are hiring us for.
• Your package lists what you receive. The Founding Outtake includes 10 edited editorial portraits selected by us to tell the strongest story. The Full Story includes every keeper from your session, plus color versions of your favorites. Unselected frames, RAW files and unedited files are not delivered and are not available for purchase.
• Galleries are delivered digitally, typically within 10 days of your session unless your invoice says otherwise. Expedited editing is available for an added fee.
• Galleries stay online for at least 30 days. Download your images. We are not responsible for files lost after that window, though we will always try to help.
• Do not crop, filter, recolor or otherwise alter delivered images before posting them. Please credit The Outtake Club when you share.

5 If you are not happy

We want you to love these. If something about your gallery isn't right, come to us directly within 7 days of delivery and tell us what you're seeing. We will work with you on re-edits and, where we agree it is warranted, a reshoot, at our discretion and at no charge.

That said, all sessions are final. Photography is a subjective art and payment is for our time, skill and the delivery of a completed gallery, not for a guaranteed result. We do not offer refunds for dissatisfaction with expression, wardrobe, hair, makeup, weight, skin, behavior of a child or pet, or our editing style. If something isn't right, please contact us within seven days of gallery delivery so we have the opportunity to make it right.

6 Copyright and how each of us can use the images

• We retain the copyright to every image we create, as provided by U.S. copyright law.
• You receive a personal-use license: print them, frame them, post them, send them to family, use them on your personal social media, forever. You may not sell them, license them, enter them in contests or use them for commercial or advertising purposes without our written permission.
• Commercial and brand sessions are covered by a separate usage license stated on that invoice.
• You may not claim authorship of the images or remove any credit or metadata.

7 Model release

If you check the optional marketing release box on the booking form, you grant us permission to use the images from your session in our portfolio, website, social media, printed marketing, advertising and submissions, without compensation. You can withdraw that permission for future use at any time by emailing us, and we will stop new uses, though we cannot recall printed materials or posts already published and shared.

If you leave that box unchecked, your gallery stays private and we will not publish it.

8 Minors

If anyone being photographed is under 18, the parent or legal guardian must book, sign and be present for the entire session. Signing this agreement confirms you have the legal authority to give consent for every minor in the session, including any release you have checked.

9 On the day

• Arrive 5 minutes early. Sessions start and end on time so everyone after you gets their full slot.
• Bring your three things and anything on your Story Card.
• Please keep your group to the people being photographed plus one other person. Our spaces are small.
• You are responsible for your own belongings and for the behavior and safety of everyone in your group, including children and pets. You agree to hold us harmless for any injury, loss or damage that happens at a session, to the extent allowed by law.
• Abusive or unsafe behavior toward us, a venue, or another client ends the session immediately with no refund.

10 Limit of liability

In the unlikely event of equipment failure, data loss, illness, accident, act of nature or any other circumstance that prevents us from delivering your images, our total liability is limited to a refund of what you paid us for that session, including the deposit. We are not liable for indirect or consequential losses such as travel, wardrobe, childcare or missed opportunities.

11 Everything else

• This agreement, plus your booking form and invoice, is the whole agreement between us and replaces anything said in conversation or text.
• Any change to it has to be in writing and agreed to by both of us.
• This agreement is governed by the laws of the State of Missouri, and any dispute will be handled in the courts of Johnson County, Missouri.
• If any part of this agreement is found unenforceable, the rest of it still stands.
